End User License Agreement (EULA)

1. Definitions

“Software” means the Printely Connect application, including executables, libraries, documentation, configuration files, and updates.

“License” means the rights granted under this Agreement to use the Software on permitted devices.

“Device” refers to any computer, workstation, terminal, or other hardware where the Software is installed.

2. License Grant & Scope

Subject to compliance with this Agreement, you are granted a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control for internal business operations.

• Commercial use is allowed solely to run your organization.
• Only the number of installations permitted in your purchase or subscription agreement is authorized.
• One backup copy may be created exclusively for archival purposes.

3. Restrictions

You may not modify, translate, create derivative works, reverse engineer, decompile, disassemble, or attempt to derive the Software’s source code.

You may not distribute, sublicense, rent, lease, lend, or sell the Software, nor make it available over a network for simultaneous use by multiple devices (unless explicitly permitted).

Security bypassing, developing competing products, or using the Software for unlawful activity is strictly prohibited.

4. Intellectual Property

The Software is licensed, not sold. Samrat Subedi & KhatraTech Pvt. Ltd. retain all right, title, and interest, including copyrights and trademarks.

You retain ownership of data you input or process via the Software. Feedback you provide may be used by KhatraTech without restriction.

5. Privacy & Data Collection

• Diagnostic data: anonymized usage statistics, performance telemetry, and system configuration info.
• Usage: improving performance, providing technical support, and developing new features.
• Security: reasonable safeguards are in place, and personal data is not sold or shared for marketing purposes.

6. Updates & Support

Updates, patches, and new versions may modify existing features or introduce new functionality. Automatic updates may be delivered unless you disable them (which could limit functionality). Support, if included, is governed by separate terms.

7. Term & Termination

• This Agreement is effective upon acceptance and continues until terminated.
• You may terminate at any time by uninstalling the Software and destroying all copies.
• KhatraTech may terminate immediately upon your breach or unauthorized use.
• Upon termination, you must cease all use, uninstall the Software, and delete any backups.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

9. Limitation of Liability

To the maximum extent permitted by law, KhatraTech is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business, data, goodwill, or replacement costs. Aggregate liability shall not exceed the amount paid in the preceding 12 months or USD $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless KhatraTech, its affiliates, and personnel against claims arising from your use or misuse of the Software, violation of this Agreement, applicable laws, or infringement of third-party rights.

11. Third-Party Components & Services

Open-source or third-party components bundled with the Software remain subject to their respective licenses. Integrations with third-party services are governed by those services’ own terms.

12. Compliance & Audit

You must comply with all applicable laws, regulations, and licensing terms. KhatraTech may audit your usage; you agree to cooperate, maintain relevant records, and address any non-compliance (including paying additional fees or costs).

13. Export Control & Government Use

The Software may be subject to export control laws. You agree not to export or re-export to prohibited countries or uses. Government users receive only the rights provided under applicable regulations (FAR 12.212 or DFARS 227.7202).

14. General Provisions

• Governing Law & Jurisdiction: Nepal.
• Entire Agreement: supersedes prior understandings regarding the Software.
• Amendments: KhatraTech may modify this Agreement with notice; continued use constitutes acceptance.
• Severability & Waiver: invalid provisions do not affect the remainder; failure to enforce is not a waiver.
• Assignment: You may not assign without consent; KhatraTech may assign freely.
