Printely Connect Proprietary Software License

1. Copyright and Ownership

Copyright © 2025 Samrat Subedi & KhatraTech Pvt. Ltd. All Rights Reserved. Printely Connect, including the source code, object code, documentation, UI, and design assets, contains proprietary and confidential information owned by KhatraTech.

The Software is protected by copyright laws, trade secret laws, and international treaty provisions. All rights not expressly granted remain with the Company.

2. Grant of License

Subject to this Agreement, you receive a limited, non-exclusive, non-transferable, revocable license to:

• Use the Software solely for your internal business purposes
• Install the Software on devices you own or control
• Access the Software's functionality exactly as intended by the Company

3. Restrictions

You are expressly prohibited from copying, modifying, reverse engineering, or distributing the Software. You may not sublicense, rent, lease, sell, or transfer the Software to any third party, nor remove proprietary notices, nor use it for unlawful purposes or benchmarking without prior consent.

4. Ownership of Data and Content

• Your Data: You retain ownership of all content, data, and materials you input or process through the Software.
• Usage Analytics: KhatraTech may collect anonymized usage statistics and performance data solely to improve the Software.
• Feedback: Any feedback or suggestions you submit may be used by KhatraTech without obligation.

5. Term and Termination

• This license is effective until terminated.
• You may terminate by ceasing use and destroying all copies.
• KhatraTech may terminate immediately upon breach.
• Upon termination all rights cease and you must delete the Software.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

KhatraTech shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use. Total liability is limited to the amount paid for the Software.

8. Government Rights

If accessed by U.S. Government entities or contractors, the Software is provided with Restricted Rights under FAR 12.212 or DFARS 227.7202. Use, duplication, or disclosure is subject to the applicable restrictions.

9. Third-Party Components

The Software may include third-party components, including open source libraries, each governed by their own license terms. Refer to the THIRD-PARTY-LICENSES file for details.

10. Updates and Support

• Updates, patches, and new versions may be provided at KhatraTech's discretion.
• Support services, if any, are delivered under separate terms.
• Updates may modify or replace parts of this Agreement.

11. Compliance and Audit

KhatraTech reserves the right to audit your usage to ensure compliance. You agree to provide reasonable cooperation and transparency.

12. Export Control

You must comply with all applicable export laws. You may not export or re-export the Software in violation of international sanctions or export regulations.

13. General Provisions

• Governing Law: Nepal
• Jurisdiction: Courts of Nepal
• Entire Agreement: This License represents the entire agreement between the parties.
• Severability: Invalid provisions do not affect the remainder.
• No Waiver: Failure to enforce any provision does not waive future enforcement.
