Terms of Service

1. Copyright & Ownership

Printely Connect, including source code, binaries, interfaces, documentation, and design assets, is proprietary software owned by Samrat Subedi & KhatraTech Pvt. Ltd. ("KhatraTech"). All intellectual property rights are reserved and protected under copyright, trade secret, and international treaties.

2. License Grant

Subject to compliance with these Terms, you receive a limited, non-exclusive, non-transferable, revocable license to install Printely Connect on devices you own or control and to use its features for your internal business operations. Unless otherwise stated in your commercial agreement, one license equals one organization use.

• Commercial use is permitted solely to run your own operations.
• One archival backup copy may be created for disaster recovery.
• Benchmarking and competitive analysis require prior written consent.

3. Restrictions

You agree NOT to:

• Modify, adapt, translate, or create derivative works of the software.
• Reverse engineer, decompile, or disassemble Printely Connect.
• Distribute, sublicense, rent, lease, or host the software for third parties.
• Remove proprietary notices or circumvent security and usage restrictions.
• Use Printely Connect for unlawful purposes or to build competing offerings.

4. Ownership of Data & Feedback

You retain ownership of data you send through Printely Connect. KhatraTech may collect anonymized usage analytics and diagnostics to improve the product. Feedback you provide may be used without obligation or attribution.

5. Term & Termination

• The license remains effective until terminated by you or KhatraTech.
• You may terminate by ceasing use and destroying all copies.
• KhatraTech may terminate immediately for any breach or non-compliance.
• Upon termination you must uninstall Printely Connect, delete backups, and stop all usage.

6. Warranty Disclaimer

PROVIDED "AS IS"

Printely Connect is supplied without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, or compatibility. You assume all risks associated with installation and use.

7. Limitation of Liability

To the maximum extent permitted by law, KhatraTech is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data. Aggregate liability is capped at the fees paid in the preceding 12 months or USD $100, whichever is greater.

8. Government Rights & Export

Printely Connect is provided with Restricted Rights as defined by FAR 12.212 or DFARS 227.7202. You must comply with all export control regulations and may not export the software to embargoed destinations or use it in prohibited activities.

9. Third-Party Components & Updates

Printely Connect may include third-party libraries governed by their own licenses. KhatraTech may release updates, patches, or new versions that modify or replace existing functionality. Continued use after an update indicates acceptance of any revised terms.

10. Compliance & Audit

KhatraTech may audit your usage to verify license compliance. You agree to provide reasonable cooperation, including access to relevant deployment records. Remediation may include additional license fees or termination.

11. Governing Law

These Terms are governed by the laws of Nepal. Disputes shall be resolved exclusively in the courts of Nepal.
